Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Scriptlane product and scriptlanedata.com website (together, the “Service”), operated by BID Partners LLC (“BID Partners,” “we,” or “us”). By creating an account or otherwise accessing the Service, you agree to these Terms.
1. Eligibility and accounts
You must be at least 18 years old and authorized to bind the organization on whose behalf you register. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account.
2. The Service
Scriptlane provides self-serve campaign scoping and a brokered execution referral path. Query results are aggregate-only estimates derived from EHR partner portal data and are intended for planning purposes. They are not a representation of any specific patient or healthcare provider and are not medical advice.
3. Acceptable use
You agree not to:
- Use the Service to identify or re-identify any individual.
- Scrape, bulk-export, or otherwise extract the Service’s output beyond its intended use.
- Submit briefs intended to target behavioral-health or substance-use-disorder data subject to 42 CFR Part 2.
- Reverse engineer, attempt to breach security controls, or interfere with the Service’s operation.
- Use the Service in violation of any applicable law, including healthcare privacy, anti-kickback, or false-claims statutes.
4. Plans, fees, and taxes
Subscription plans are billed annually in advance at the price shown at checkout. One-time purchases (single reports, report packs) are billed once at checkout. Fees are non-refundable except as required by law. Annual subscriptions renew automatically unless cancelled before the renewal date through the billing portal. You are responsible for any applicable taxes.
5. Brokered execution
When you request a brokered execution, you authorize us to share the scoping brief and your contact information with the applicable EHR partner program and activation partner for the purpose of a commercial introduction. Downstream contracting flows directly between you (or your organization) and the partner on their standard paper; Scriptlane is not a party to that contract.
6. Intellectual property
We retain all right, title, and interest in the Service, including aggregate reference models, normalized schemas, and the site. You retain ownership of the brief content you submit. You grant us a worldwide, non-exclusive license to use that content solely to operate the Service for you.
7. Confidentiality
Each party will protect the other’s non-public information with the same care it applies to its own confidential information, and will not disclose it except as necessary to provide the Service, to comply with law, or as you otherwise authorize.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BID PARTNERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Aggregate estimates are not guarantees of performance, audience size, or campaign outcome.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BID PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER.
10. Indemnification
You agree to defend, indemnify, and hold harmless BID Partners, its officers, and agents from any claim arising out of your misuse of the Service or your violation of these Terms.
11. Termination
You may cancel at any time from the billing portal. We may suspend or terminate your account for material breach with reasonable notice where practicable. Sections intended to survive termination will survive.
12. Changes to the Terms
We may update these Terms from time to time. Material changes will be announced at least 14 days in advance via the Service or by email. Continued use after the effective date constitutes acceptance.
13. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of these Terms, except that either party may seek equitable relief in any court of competent jurisdiction.
14. Entire agreement
These Terms, together with the Privacy Policy and any order form or Data Processing Addendum executed by the parties, constitute the entire agreement between you and BID Partners regarding the Service.
